1. INTRODUCTION AND DEFINITIONS
1.1 About Smartgiggs
Smartgiggs is an online services marketplace operated by Discountbox Ltd ("we," "us," "our," or "the Company"), a company duly registered in the Republic of Ghana. The Platform connects service providers with customers seeking to purchase services.
1.2 Definitions
In these Seller Terms:
- "Platform" means the Smartgiggs website and mobile application
- "Seller," "Vendor," "Service Provider," "you," "your" means the individual or business registering to offer services on Smartgiggs
- "Customer," "Buyer" means a person or entity purchasing services through the Platform
- "Gig," "Listing" means the service offering you create on the Platform
- "Commission" means the fee Discountbox Ltd charges for use of the Platform
- "Seller Account" means your password-protected account on the Platform
1.3 Acceptance
By registering as a Seller, creating listings, or using the Platform to offer services, you agree to be legally bound by these Seller Terms, our Privacy Policy, and any other policies incorporated by reference. If you do not agree, you must not register or sell on Smartgiggs.
1.4 Legal Status
You acknowledge that you are an independent contractor and nothing in these Terms creates an employment, partnership, joint venture, agency, or franchise relationship between you and Discountbox Ltd. You are solely responsible for your own taxes, insurance, and business operations .

2. ELIGIBILITY AND VERIFICATION
2.1 Age and Capacity
You must be at least eighteen (18) years old to register as a Seller. By registering, you represent and warrant that you have the legal capacity to enter into binding contracts.
2.2 Business Registration (if applicable)
If you are operating as a business, you represent that you are duly registered with the Registrar General's Department of Ghana and possess a valid Company Registration Certificate .
2.3 Mandatory Verification Requirements
To protect the integrity of the Smartgiggs marketplace and comply with applicable laws, all Sellers must complete verification before their listings are made publicly available. You agree to provide:
- A valid Ghana Card (National ID) or valid passport for individual Sellers
- A valid Company Registration Certificate for business entities
- Physical business location confirmed using GhanaPost GPS address system
- Valid tax identification number (TIN)
- Current contact information (phone number and email address)
2.4 Verification Process
Discountbox Ltd reserves the right to:
- Verify the authenticity of all documents submitted
- Conduct additional background checks as we deem appropriate
- Request additional information or documentation
- Reject any Seller application in our sole discretion
2.5 Verified Seller Status
Upon successful verification, you will receive "Verified Seller" status, which may include benefits such as:
- Enhanced visibility on the Platform
- Faster payout processing
- Eligibility for promotions and featured placements
- Priority customer support
2.6 Revocation of Verified Status
Discountbox Ltd reserves the right to revoke or suspend your verified status if you:
- Submit fraudulent or forged documents
- Receive excessive customer complaints
- Breach these Seller Terms
- Engage in unethical, misleading, or illegal business practices

3. SELLER OBLIGATIONS AND CONDUCT
3.1 Accurate Listings
You agree to ensure all listings, including descriptions, images, prices, and delivery timelines:
- Are accurate, complete, and not misleading
- Comply with applicable Ghanaian laws and international standards
- Do not infringe on any third-party intellectual property rights
- Accurately represent your skills, qualifications, and experience
3.2 Prohibited Services
You may not list or offer services that:
- Are illegal under Ghanaian law
- Infringe on intellectual property rights
- Are fraudulent or deceptive
- Involve prohibited or restricted content as determined by Discountbox Ltd
3.3 Professional Conduct
As a Seller, you agree to:
- Provide services with reasonable care and skill as required by the Consumer Protection Act, 2020 (Act 1020)
- Communicate professionally and respectfully with Customers
- Deliver services within the agreed timeframe
- Honor your commitments and representations
- Not harass, discriminate against, or harm any Customer
3.4 Communications
You agree to:
- Respond to Customer inquiries promptly
- Use Platform communication tools for transactions (where available)
- Not share your personal contact information to circumvent the Platform
- Not solicit Customers to transact outside Smartgiggs
3.5 Intellectual Property Rights
By submitting content to the Platform (including Gig descriptions, images, videos, and portfolios), you grant Discountbox Ltd a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to:
- Use, publish, adapt, and distribute such content across the Platform
- Display your content for marketing and promotional purposes
- Sub-license these rights to third-party or affiliate platforms for syndication

4. FEES, COMMISSION, AND PAYMENTS
4.1 Platform Commission
In consideration for use of the Smartgiggs Platform, you agree to pay Discountbox Ltd a commission on all sales completed through the Platform. The commission rate will be:
- Disclosed to you during the onboarding process
- Subject to change upon written notice (30 days advance notice will be provided)
- Deducted from payments before remittance to you
4.2 Payment Processing
Discountbox Ltd accepts payments on behalf of Sellers. When a Customer pays via mobile money, card, or other methods:
- Funds are temporarily held by Discountbox Ltd
- We will remit the payment to you within the agreed payout schedule, less our commission
- Payouts will be made to your designated bank account or mobile money wallet
- You are responsible for ensuring the accuracy of your payment details
4.3 Payout Schedule
Payments will be processed according to the following schedule:

- Subject to any holding periods for dispute resolution
4.4 Taxes
You are solely responsible for:

4.5 Non-Payment and Suspension
Failure to remit commission or honor financial obligations may result in:
- Suspension or termination of your Seller account
- Withholding of payments
- Legal action to recover amounts owed

5. SERVICE DELIVERY AND CUSTOMER SATISFACTION
5.1 Service Standards
You agree to:
- Deliver services as described in your Gig listing
- Meet or exceed the quality standards represented
- Complete work within the agreed timeframe
- Communicate promptly if delays or issues arise
5.2 Revisions and Modifications
You agree to:
- Offer reasonable revisions as described in your Gig
- Clearly communicate any limitations on revisions
- Work with Customers in good faith to resolve concerns
5.3 Cancellations
If you need to cancel an order:
- You must notify the Customer immediately
- Cancellations may affect your Seller rating
- Excessive cancellations may result in account suspension
5.4 Customer Satisfaction
Discountbox Ltd values Customer satisfaction. You agree to:
- Make reasonable efforts to resolve Customer concerns
- Participate in our dispute resolution process when needed
- Maintain high standards of service to protect the Smartgiggs brand

6. REFUNDS AND DISPUTES
6.1 Refund Policy
You agree to:
- Honour refund requests in accordance with your disclosed refund policy
- Process refunds promptly when agreed
- Comply with any mandatory refund requirements under Ghanaian law
6.2 Dispute Resolution
If a dispute arises with a Customer:
- You agree to first attempt to resolve it directly with the Customer
- If unresolved, you agree to participate in Smartgiggs' dispute resolution process
- Discountbox Ltd may, at its discretion, make a final decision regarding refunds
- You agree to abide by such decisions
6.3 Chargebacks
If a Customer initiates a chargeback with their bank or mobile money provider:
- Discountbox Ltd may deduct the disputed amount from future payouts
- You agree to cooperate in investigating and responding to chargebacks
6.4 Dispute Between Sellers
Disputes between Sellers are not governed by these Terms and must be resolved independently.

7. RATINGS AND REVIEWS
7.1 Customer Feedback
Customers may leave reviews and ratings for your services. You agree that:
- Reviews reflect the Customer's genuine experience
- You will not attempt to manipulate, fabricate, or incentivize fake reviews
- You will not threaten or harass Customers who leave negative reviews
7.2 Your Right to Respond
You may respond professionally to Customer reviews. Harassment or abusive responses may result in account suspension.
7.3 Removal of Reviews
Discountbox Ltd reserves the right to remove reviews that are:
- Fraudulent or fake
- Contain hate speech or harassment
- Violate our Acceptable Use Policy

8. SELLER ACCOUNT AND STOREFRONT
8.1 Your Storefront
Upon successful verification, you will receive a dedicated Seller storefront on the Platform . You are responsible for:
- Populating your storefront with accurate listings
- Maintaining current information about your services
- Uploading high-quality images and descriptions
8.2 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
8.3 Store Inactivity
Your store may remain inactive until you populate it with listings. Discountbox Ltd reserves the right to remove or archive inactive stores .
8.4 Content Optimization
Discountbox Ltd reserves the right to:
- Edit listing titles or descriptions for clarity, SEO, or platform consistency
- Watermark images to prevent unauthorized use
- Remove inappropriate, misleading, or poor-quality content without prior notice

9. PROHIBITED ACTIVITIES AND ENFORCEMENT
9.1 Prohibited Conduct
As a Seller, you agree NOT to:
- List illegal, counterfeit, stolen, or misrepresented services
- Infringe on any third-party intellectual property rights
- Engage in fraudulent or deceptive practices
- Harass, abuse, or harm any Customer or other Seller
- Use the Platform for money laundering or other illegal financial activities
- Attempt to circumvent our commission by transacting outside the Platform
- Include links to third-party websites in your listings
- Use automated scripts or bots to interact with the Platform
9.2 Monitoring and Enforcement
Discountbox Ltd reserves the right to:
- Monitor Seller activities and content for compliance
- Remove any listing that violates these Terms
- Suspend or terminate Seller accounts for violations
- Report illegal activity to appropriate law enforcement authorities in Ghana
9.3 Suspension and Termination
We may suspend or terminate your account immediately, without prior notice, for:
- Breach of these Terms
- Fraudulent activity
- Excessive customer complaints
- Illegal conduct
- Any other reason in our sole discretion

10. INTELLECTUAL PROPERTY
10.1 Platform Ownership
All proprietary content on the Platform, including software, branding, logos, design elements, and underlying code, remains the exclusive property of Discountbox Ltd or its licensors. You may not reuse or reproduce any part of the Platform's content without prior written approval .
10.2 Your Intellectual Property
You retain ownership of your original content. By posting it on Smartgiggs, you grant us the license described in Section 3.5.
10.3 Copyright Infringement
If you believe another Seller or Customer has infringed your intellectual property rights, please contact us at [Insert Email] with a detailed notice.

11. LIMITATION OF LIABILITY
11.1 Platform Provided "As Is"
THE SMARTGIGGS PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY GHANAIAN LAW, DISCOUNTBOX LTD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
11.2 No Warranty for Platform Availability
While we strive for continuous service, the Platform may be unavailable due to maintenance, updates, or technical issues. Discountbox Ltd is not liable for any losses or delays caused by such interruptions .
11.3 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DISCOUNTBOX LTD, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or goodwill
- Damages arising from your inability to use the Platform
- Damages resulting from transactions or interactions with Customers
11.4 Cap on Liability
IN ANY EVENT, THE TOTAL LIABILITY OF DISCOUNTBOX LTD ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID BY YOU TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
11.5 Exceptions
Nothing in these Terms excludes or limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under Ghanaian law.

12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Discountbox Ltd, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from:
- Your breach of these Seller Terms
- Your content uploaded to the Platform
- Services you provide to Customers
- Sale of illegal, fraudulent, or misrepresented services
- Your violation of any third-party rights
- Your violation of any applicable laws or regulations, including tax laws

13. TERM AND TERMINATION
13.1 Term
These Terms commence upon your acceptance and continue until terminated as provided herein.
13.2 Termination by You
You may terminate your Seller account at any time by:
- Completing all pending orders
- Providing written notice to us
- Settling any outstanding fees or obligations
13.3 Termination by Us
Discountbox Ltd may terminate or suspend your account at any time, with or without cause, upon notice to you.
13.4 Effect of Termination
Upon termination:
- Your right to access the Platform ceases immediately
- Any pending orders must be completed or cancelled
- Outstanding fees remain payable
- Sections that by their nature should survive termination shall survive (including indemnification, limitation of liability, governing law)

14. GOVERNING LAW AND DISPUTE RESOLUTION
14.1 Governing Law
These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the Republic of Ghana , without regard to its conflict of laws principles .
14.2 Jurisdiction
Any legal suit, action, or proceeding arising out of or related to these Terms or the Platform shall be instituted exclusively in the courts of Accra, Ghana . You waive any objection to the exercise of jurisdiction over you by such courts.
14.3 Alternative Dispute Resolution
The parties may agree to resolve disputes through arbitration or mediation in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798) of Ghana. Any such arbitration shall be conducted in Accra, Ghana.

15. GENERAL PROVISIONS
15.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Discountbox Ltd regarding your use of the Platform as a Seller.
15.2 Amendments
Discountbox Ltd reserves the right to modify these Terms at any time. We will notify you of material changes via email or through a notice on the Platform. Your continued use after such modifications constitutes your acceptance of the revised Terms.
15.3 Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
15.4 Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right under these Terms shall not constitute a waiver of such right.
15.5 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Discountbox Ltd may assign these Terms without restriction.

We may provide notices to you via email, through the Platform, or by postal mail to the address in your account.
