1. INTRODUCTION AND ACCEPTANCE
1.1 About Smartgiggs
Smartgiggs is an online services marketplace operated by Discountbox Ltd ("we," "us," "our," or "the Company"), a company duly registered in the Republic of Ghana. Throughout these Terms, the terms "Smartgiggs," "the Platform," or "our Platform" refer to the website, mobile application, and related services operated by Discountbox Ltd.
1.2 Acceptance of Terms
By accessing or using the Smartgiggs Platform, you ("you," "your," "User," or "Customer") agree to be bound by these Terms of Use ("Terms"), our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, you must not access or use the Platform.
1.3 Electronic Consent
By using the Platform, you acknowledge that you have read and understood these Terms and consent to forming a binding electronic contract. This electronic agreement is valid and enforceable under the Electronic Transactions Act, 2008 (Act 772) of the Republic of Ghana.
1.4 Eligibility
You must be at least eighteen (18) years old to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding contract. If you are using the Platform on behalf of a business or entity, you represent that you have the authority to bind that entity.
1.5 Amendments
Discountbox Ltd reserves the right to modify these Terms at any time. We will notify you of material changes via email or through a notice on the Platform. Your continued use of the Platform after such modifications constitutes your acceptance of the revised Terms.

2. THE SMARTGIGGS PLATFORM AND OUR ROLE
2.1 What We Do
Smartgiggs provides an online marketplace platform that connects Customers seeking services ("Buyers") with independent third-party service providers ("Vendors," "Sellers," or "Freelancers").
2.2 Our Role as Intermediary
Discountbox Ltd is not a party to any agreement between you and a Vendor. We are not a service provider, agent, or employer of any Vendor. Our role is strictly limited to providing the technology platform that enables transactions.
We do not:
- Endorse, recommend, or verify the skills, qualifications, or background of any Vendor
- Warrant the quality, safety, or legality of any services offered
- Guarantee the accuracy of Vendor listings, portfolios, or descriptions
2.3 Legal Recognition Under Ghanaian Law
You acknowledge that any contract for services formed between you and a Vendor through the Smartgiggs platform is a legally binding contract. Discountbox Ltd facilitates the formation of this contract but is not a party to it, as permitted under the Electronic Transactions Act, 2008 (Act 772).

3. ACCOUNT REGISTRATION AND SECURITY
3.1 Account Creation
To use certain features of the Platform, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information promptly
- Use a valid email address and phone number (Ghanaian or international)
3.2 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
Under the Electronic Transactions Act, 2008 (Act 772), any electronic communication or activity conducted through your account is presumed to be authorized by you.
3.3 Account Termination
Discountbox Ltd reserves the right to suspend or terminate your account at any time, without prior notice, for conduct that we, in our sole discretion, believe violates these Terms, applicable laws, or is harmful to other Users, the Platform, or third parties.

4. LISTINGS AND TRANSACTIONS
4.1 Vendor Listings
Vendors on Smartgiggs create profiles and list services ("Gigs"). While we strive to maintain a high-quality marketplace, we do not independently verify Vendor representations. You agree to conduct your own due diligence before engaging a Vendor.
4.2 Making a Purchase
When you place an order for a service, you are offering to enter into a contract directly with the Vendor. The contract between you and the Vendor is formed when the Vendor accepts your order (e.g., by confirming they will perform the service).
4.3 Pricing and Currency
- All prices are displayed in Ghana Cedis (GHS) unless otherwise indicated
- Prices include all applicable taxes unless stated otherwise
- Vendors are responsible for setting their prices and any applicable taxes they may charge
4.4 Payment Authorization
When you make a purchase on Smartgiggs, you authorize Discountbox Ltd to charge your selected payment method (including mobile money, debit card, or credit card) for the total amount of the order. We use third-party payment processors to handle transactions securely.

5. FEES, PAYMENTS, AND TAXES
5.1 Platform Fees
Discountbox Ltd may charge fees for the use of the Platform. Any such fees will be disclosed to you before you complete a transaction. Fees are non-refundable except as expressly provided in our Refund Policy.
5.2 Payment Processing
Payments are processed through our secure payment gateway. By using the Platform, you agree to:
- Provide valid and authorized payment information
- Pay all amounts when due
- Not use fraudulent payment methods
5.3 Taxes
You are solely responsible for determining and paying any taxes applicable to your transactions. Discountbox Ltd does not provide tax advice and recommends consulting a qualified tax professional regarding your obligations under Ghanaian tax laws.

6. CANCELLATIONS AND REFUNDS
6.1 Cancellation by Customer
You may cancel an order only before the Vendor has accepted or begun work on your order. Once a Vendor has commenced work, cancellations are subject to the Vendor's cancellation policy as disclosed in their Gig listing.
6.2 Refund Policy
Refunds are processed according to the following principles:
- If a Vendor fails to deliver the agreed service, you may be eligible for a refund
- If you and the Vendor agree to cancel the order, a refund may be issued
- All refunds are subject to our Dispute Resolution Process
6.3 Consumer Rights
Your right to refunds is also governed by applicable Ghanaian consumer protection laws, including provisions of the Consumer Protection Act, 2020 (Act 1020) which guarantees that services must be rendered with reasonable care and skill.

7. DISPUTE RESOLUTION
7.1 Disputes Between Customers and Vendors
If you have a dispute with a Vendor, you agree to first attempt to resolve it directly with the Vendor. If you are unable to resolve the dispute, you may contact Smartgiggs support for assistance.
7.2 Our Role in Disputes
Discountbox Ltd may, at its sole discretion, assist in mediating disputes but is not obligated to do so. Any decision we make regarding a dispute (such as issuing a refund) is final and binding, but does not affect your statutory rights.
7.3 Disputes with Discountbox Ltd
If you have a dispute with Discountbox Ltd arising from these Terms or your use of the Platform, you agree to first contact us to seek a resolution. If we cannot resolve the dispute informally, you agree to the dispute resolution provisions in Section 13.

8. USER CONDUCT AND PROHIBITED ACTIVITIES
8.1 Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:
- Harass, abuse, or harm another person
- Post false, inaccurate, misleading, or defamatory content
- Impersonate any person or entity
- Use the Platform for any illegal purpose, including fraud or money laundering
- Interfere with or disrupt the Platform or servers
- Attempt to gain unauthorized access to other accounts or our systems
- Use automated scripts or bots to interact with the Platform
8.2 Reviews and Ratings
Your reviews and ratings of Vendors must be honest, accurate, and based on your actual experience. You agree not to post fake, incentivized, or malicious reviews.
8.3 Violations
Violation of these conduct rules may result in immediate suspension or termination of your account and legal action. Discountbox Ltd reserves the right to report illegal activity to appropriate law enforcement authorities in Ghana.

9. INTELLECTUAL PROPERTY RIGHTS
9.1 Our Intellectual Property
The Smartgiggs Platform, including its software, design, text, graphics, logos, and underlying code, is the exclusive property of Discountbox Ltd and its licensors. It is protected by Ghanaian copyright laws, trademark laws, and international treaties.
9.2 License to Use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of our Platform without our written consent.
9.3 User Content
By posting content on the Platform (including reviews, messages, and feedback), you grant Discountbox Ltd a worldwide, royalty-free, perpetual, irrevocable, and non-exclusive license to use, reproduce, modify, adapt, publish, and display such content for the purpose of operating and promoting the Platform.
9.4 Copyright Infringement
If you believe any content on the Platform infringes your intellectual property rights, please contact us at connect@smartgiggs.com with a detailed notice, and we will investigate promptly.

10. PRIVACY AND DATA PROTECTION
10.1 Data Collection and Use
Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information in compliance with the Data Protection Act, 2012 (Act 843) of Ghana.
10.2 Data Controller
Discountbox Ltd is the Data Controller for purposes of the Data Protection Act.
10.3 Consent
By using the Platform, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy, including the transfer of your information to Vendors as necessary to provide services.

11. DISCLAIMERS AND LIMITATION OF LIABILITY
11.1 Platform Provided "As Is"
THE SMARTGIGGS PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY GHANAIAN LAW, DISCOUNTBOX LTD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
11.2 No Warranty for Vendor Services
DISCOUNTBOX LTD DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY SERVICE ADVERTISED OR OFFERED BY A VENDOR. WE ARE NOT RESPONSIBLE FOR MONITORING TRANSACTIONS BETWEEN YOU AND VENDORS.
11.3 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DISCOUNTBOX LTD, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or goodwill
- Damages arising from your inability to use the Platform
- Damages resulting from transactions or interactions with Vendors
11.4 Cap on Liability
IN ANY EVENT, THE TOTAL LIABILITY OF DISCOUNTBOX LTD ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE THOUSAND GHANA CEDIS (GHS 1,000).
11.5 Exceptions
Nothing in these Terms excludes or limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under Ghanaian law.

12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Discountbox Ltd, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any third-party rights, including any Vendor
- Your violation of any applicable laws or regulations

13. GOVERNING LAW AND DISPUTE RESOLUTION
13.1 Governing Law
These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the Republic of Ghana , without regard to its conflict of laws principles.
13.2 Jurisdiction
Any legal suit, action, or proceeding arising out of or related to these Terms or the Platform shall be instituted exclusively in the courts of Accra, Ghana . You waive any objection to the exercise of jurisdiction over you by such courts.
13.3 Alternative Dispute Resolution
The parties may agree to resolve disputes through arbitration or mediation in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798) of Ghana. Any such arbitration shall be conducted in Accra, Ghana.

14. GENERAL PROVISIONS
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Discountbox Ltd regarding your use of the Platform.
14.2 Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
14.3 Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right under these Terms shall not constitute a waiver of such right.
14.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Discountbox Ltd may assign these Terms without restriction.
